Terms of use

Magnetar Entertainment LLP (“Magnetar”) is pleased to provide to you access to its website. These terms of use govern your use and our provision of the Services on www.thescriptcraft.com (“our Platform”). PLEASE READ THESE TERMS OF USE (“TERMS”) CAREFULLY BEFORE USING OUR PLATFORM.
1. Contract between You and Us
This is a contract between you (“You”) and Magnetar, a limited liability partnership firm incorporated under the Limited Liability Partnership Act, 2008. You must read and agree to these Terms before using or accessing our Platform. You agree that by clicking “Login”, “Sign Up” or similar, registering, accessing or using Magnetar Services (defined hereinafter), you are agreeing to enter into a legally binding contract with Magnetar. If you do not agree to this contract (“Contract” or “Terms of Use”), do not click “Login”, “Sign Up” (or similar) and do not access or otherwise use any of Magnetar Services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using Magnetar Services. These Terms describe the limited basis on which the Magnetar Services are available and supersede prior agreements or arrangements. Registered users of Magnetar Services are “Members” and unregistered users are “Visitors”. These Terms apply to both Members and Visitors.
Use of Magnetar Services is available only to persons who can form a legally binding contract under the Indian Contract Act, 1872.
Supplemental terms and conditions may apply to some Magnetar Services, such as rules for a particular service or other activity, or terms that may accompany certain content accessible through the Magnetar Services. Supplemental terms and conditions will be disclosed to You in connection with the applicable service or activity. Any supplemental terms and conditions are in addition to these terms, and in the event of a conflict, prevail over these Terms.
Magnetar may amend these Terms at Magnetar’s sole discretion and make best efforts to notify You when major changes are made. Your continued use of Magnetar Services following the posting of changes and/or modifications will constitute Your acceptance of the revised Terms. Nothing in these Terms shall be deemed to confer any third-party rights or benefits upon You. Notwithstanding the above, if any change to these Terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions.
Magnetar may immediately terminate this contract with respect to You (including Your access to the Magnetar Services) if You fail to comply with any provision of these Terms.
You undertake and warrant that You will periodically review the Terms provided at www.thescriptcraft.com and that Your consent to the same shall be construed by the continuous access or use of the services from Your account.
2. Magnetar Services

• I. SCRIPT SERVICES Magnetar Services are designed to promote economic opportunity for our Members by enabling writers, publishers, producers, filmmakers and millions of other professionals to meet, exchange ideas, learn, and find opportunities for collaboration. Magnetar provides a platform where creative minds can showcase their content by uploading a synopsis of their literary work to enable the producers/filmmakers, etc. to approach them for collaboration and further development of the uploaded content and/or acquiring rights in the uploaded content.
  Members who are writers may upload the synopsis of the story, script or literary material written by them (“Material”) and registered with the recognized writers association (“Association”) on the Platform and submit a valid registration code/proof received by the Member from such Association. In the event registration proof submitted by any Member is found to be fraudulent during background verification, Magnetar reserves the right to forthwith suspend the account of such Member, without prejudice to any and all other rights and remedies available to Magnetar hereunder and/or under law or in equity.
  Members who are authors of Materials published by third party, shall submit a No-objection Certificate from the publisher of the published Material on the Platform, specifically stating that such publisher presently or in future shall have no claims, rights and/or any and all commercial benefit in and to the published Material and/or any ancillary right in relation to the works thereto and/or the exploitation of the published Material. Similarly, Members who are publishers of Materials authored/written by third party, shall submit a No-objection Certificate from the author/writer of the published Material on the Platform, specifically stating that such author/writer presently or in future shall have no claims, rights and/or any and all commercial benefit in and to the published Material and/or any ancillary right in relation to the works thereto and/or the exploitation of the published Material.
  Members are permitted to upload profile pictures and set status messages. Our Platform has a feature of one-on-one chat for direct communication between the Members. The Members hereby agree and undertake not to make any negative comments against each other, adhere to Magnetar guidelines and policies; and refrain from language that could harm the religious sentiments of any community/person and maintain professionalism in all interactions between them. Members are responsible for ensuring that he/she expresses him/her self with respect to others and that he/she does not use words or phrases that may be perceived as discriminatory or offensive or objectionable. Members who are authors/publishers of the Materials hereby warrants that
  
  
  • You have full power and authority to upload the Material on the Platform;
  • the Material uploaded by You is an original work and that You are the sole author/owner of the Material, and all intellectual property and other rights, including but not limited to copyright (including any rights of confidentiality and/or privacy) in the said Material vests with You only and not with any other party;
  • the said Material and/or any of its constituent features/parts thereof do not infringe the intellectual property of any person or entity;
  • You hereby confirm that the rights granted to Magnetar hereunder are not contrary to the rights already granted or to be granted by You to any copyright/ performer’s society or any other guild or association of which You are or shall become a member of;
  • You hereby waive off and further agree not to assert any right, including but not limited to moral rights, performers rights and/or author’s rights under Section 38, 38A, 57 of the Copyright Act, 1957, that would prevent Magnetar or its assigns or licensees, or any person authorised by Magnetar, from displaying the Material, including without limitation any claims for libel or violation of rights of privacy, publicity, defamation or any similar right thereto.
  
  In the event, You are interested in contacting any Member using Magnetar Services, You may intimate Magnetar regarding the same. Magnetar shall then basis your i.e., the contacting party’s requirements liaise between the Members. It is hereby clarified that the parties may at their sole discretion conduct a due diligence of the other party at any time before entering into a written contract, and Magnetar shall in no manner be responsible or liable for any claims from any party.
  Magnetar shall not be liable for any disputes arising between the parties regarding the Material. For clarity, Magnetar will only act as a platform to connect the parties. If there is any dispute between the parties including but not limited to with respect to plagiarism or copyright infringement of the Material, Magnetar shall not be made a party to such dispute. All such disputes should be resolved between the parties without any recourse to Magnetar in any manner whatsoever.
  Members who are authors/publishers of the Materials have retained at least one copy of the Material, and You releases Magnetar from any and all liability for loss or other damage to the copies of Material uploaded on the Platform.
  You hereby agrees to indemnify and hold harmless and keep indemnified Magnetar and its assignees/licensees from and against any and all loss, damages, claims arising from or out of or in connection with (a) any obligation, representation, warranty, undertaking or covenant hereby made/agreed/undertaken by You under these Terms turning out to be false, untrue, misleading, incorrect and/or breached; (b) any third party claims that the Material infringe the intellectual property rights of a third party; and (c) any disputes arising between the Members in relation to the Material and/or exploitation of such Material.
  You acknowledge and agree that Magnetar will collect and receive personally identifiable information submitted by You, including without limitation, Your telephone number, Permanent Account Number and/or Aadhar Card, and such information will be used by Magnetar for purposes of performing its obligations under these Terms. You further acknowledge and agree that Magnetar may disclose, at its sole discretion, such information to its affiliates and other Members for the purposes of enabling Magnetar to perform its Services hereunder and You shall have no objection and/or claim against Magnetar in respect thereof.
  Magnetar does not verify, endorse or take responsibility for the accuracy, currency, completeness or quality of the Material or content contained on the Platform. Furthermore, Magnetar is not responsible for the quality of or delivery of any services offered, accessed, obtained by or advertised by any Members via Platform.
  The Magnetar Services are our copyrighted property or the copyrighted property of our licensors or licensees and all trademarks, service marks, trade names, trade dress and other intellectual property rights in the Magnetar Services are owned by us or our licensors or licensees or any affiliate companies. Except as we specifically agree in writing, no element of the Magnetar Services may be used or exploited in any way other than as part of the Magnetar Services offered to You. You may own the physical media on which elements of the Magnetar Services are delivered to You, but we retain full and complete ownership of the Magnetar Services and all the intellectual property rights vested therein. We do not transfer title to any portion of the Magnetar Services to You. Nothing provided by any brand owned or licensed by Magnetar should be construed as granting, by implication, estoppels or otherwise, any license or right of use of any trademark displayed on Magnetar Services without the written permission of Magnetar.
• II. LEARNING MANAGEMENT SYSTEM (LMS) Magnetar provides its services by acting as a centralised platform for organizations use to plan, develop, deliver, and track efficient courses and further training for both internal and external learning audiences which aims to promote and aid in administration, personalized learning experiences, collaboration, tracking learner progress, generating insights through analytics, and facilitating compliance training. Users who are authorised and certified educational organisations can create an account on the Platform, as per the provisions of these Terms, and can avail the Magnetar’s LMS services.
  
• III. VFX VISION Magnetar provides its services as a Platform for creators to share their short films, poetry-based videos, fan edits, VFX creations, storyboards, and music videos (“Content”) which allows producers and industry professionals to engage with the creators. By submitting Content, Users acknowledge that they are voluntarily sharing their work for visibility and engagement. The Content shall be uploaded to external platforms such as YouTube, Vimeo, Instagram, or Facebook post which the Users shall provide a valid link to their hosted Content when submitting to Magnetar. It is clarified that Users are not permitted to directly upload the Content to the Platform. Upon submission, the provided Content links will be posted on the Platform. It is further clarified that Magnetar does not host or store any user-generated media files and only facilitates visibility through link sharing on its Platform.
  

Notwithstanding anything stated under these Terms, Magnetar reserves the right to remove or refuse to display any content deemed inappropriate, offensive, or in violation of platform guidelines without notice to the User. The decision to remove content is at Magnetar's sole discretion and is not subject to appeal.
The User hereby agrees and undertakes that the Content submitted by the User will be wholly original and that the Content and any part or element thereof shall not violate or infringe upon the copyright, trademark, trade name, patent, literary, dramatic, musical, artistic, personal, civil or property right, or any other right of any person, or defame, invade the right to privacy of or constitute a defamation against any person.
The User hereby agrees that Magnetar shall not be held liable for any the Content submitted by the Users, including but not limited to the tone and tenure of the Content and/or any such Content that may may hurt the religious sentiments, contain explicit or adult themes, or require age-based classification or ratings. The User hereby undertakes to comply with all applicable laws and regulations in relation to the Content and Magnetar shall not be liable for any claims of intellectual property infringement, defamation, privacy violations, or any legal disputes arising from the Content, which shall be sole responsibility of the User.
3. Account
Magnetar Services require You to create an account to participate. You may register yourself on the Platform in order to avail Magnetar Services by creating an account and signing up on the Platform. You shall provide a valid email address and mobile number, as mentioned in your Aadhaar card, and complete the verification process by clicking on the link sent on the email address provided by You. The producers/filmmakers shall register on the Platform through the email address registered with the domain of their production entity. The producers/filmmakers shall provide a no objection certificate in the format acceptable to Magnetar, allowing Magnetar to use the branding materials of the producers/filmmakers and further Magnetar will grant to the producers/filmmakers, a verification symbol on the Platform, upon complete verification of their email address.
You agree to provide and maintain accurate, current and complete information, including Your contact information for notices and other communications from us. You shall provide us with your complete details to create a profile. You agree to inform us immediately of any changes to the information that You provided when registering. You agree not to impersonate or misrepresent Your affiliation with any person or entity, including using another person’s username, password or other account information, or another person’s name or likeness. You agree that we may take steps to verify the accuracy of information You provide. You may never use another's account without permission.
You undertake not to impersonate any person or entity, falsely state or otherwise misrepresent Your affiliation with a person or entity or disguise the origin of any content, stalk or otherwise harass another person or user, upload, post or e-mail any content that You do not have a right to transmit under any law or under contractual or fiduciary relationships, upload, post or e-mail any content that infringes any intellectual property rights or other third party rights of any party or violate any applicable national or international laws or regulations.
As a Platform account holder You may submit content/Materials to the Service, including synopses of the story/literary material developed by You and user comments. You understand that Magnetar does not guarantee any confidentiality with respect to any content You submit.
We have adopted and implemented a policy that provides for the termination, in appropriate circumstances, of the accounts of users who are repeat infringers of copyright. In addition, we may suspend or terminate Your account and Your ability to use the Magnetar Services if You engage in, encourage or advocate for illegal conduct, or if You fail to comply with these Terms or any supplemental terms.
Passwords and Security
You are responsible for taking reasonable steps to maintain the confidentiality of Your username and password, and You are responsible for all activities under Your account that You can reasonably control. You should take all necessary steps to ensure that the password is kept confidential and secure and You agree to promptly notify us if You have any reason to believe of any unauthorized use of Your username, password or other account information, or of any other breach of security that You become aware of involving the Magnetar Services.
Although Magnetar will not be liable for Your losses caused by any unauthorized use of Your account, You may be liable for the losses of Magnetar or others due to such unauthorized use. The security, integrity and confidentiality of Your information are extremely important to us. We have implemented technical, administrative and physical security measures that are designed to protect Your information from unauthorized access, disclosure, use and modification.
4. Electronic Communications
When You use any Magnetar Services, or send e-mails to us, You are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with You by e-mail, SMS, phone call or by posting notices on this Platform or through the other Magnetar Services. You agree that all agreements, notices, disclosures and other communications that we provide to You electronically satisfy any legal requirement that such communications be in writing. You shall communicate electronically with us at admin@thescriptcraft.com.
5. Your Conduct
You must not use our Platform in any way that causes, or is likely to cause, the Platform or access to it to be interrupted, damaged or impaired in any way. You understand that You, and not Magnetar, is responsible for all electronic communications and content sent from Your computer to us and You must use the Platform for lawful purposes only. You must not use the Platform for any of the following:

• For fraudulent purposes, or in connection with a criminal offense or other unlawful activity;
• To upload, send, use or reuse any material that does not belong to You; or is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libelous, obscene, pornographic, pedophilic or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of India or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any spam;
• To cause annoyance, inconvenience or needless anxiety;
• Create a false identity, misrepresent your identity, create a Member profile for anyone other than yourself (a real person), or use or attempt to use another’s account; v. Develop, support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology) to scrape the Magnetar Services or otherwise copy profiles and other data from the Magnetar Services
• Override any security feature or bypass or circumvent any access controls or use limits of the Magnetar Services (such as caps on keyword searches or profile views);
• Copy, use, disclose or distribute any information obtained from the Magnetar Services, whether directly or through third parties (such as search engines), without the consent of Magnetar;
• Disclose information that you do not have the consent to disclose (such as confidential information of others (including your employer);
• Rent, lease, loan, trade, sell/re-sell or otherwise monetize the Magnetar Services or related data or access to the same, without Magnetar’s consent;
• Use bots or other automated methods to access the Magnetar Services, add or download contacts, send or redirect messages;
• Monitor the Magnetar Services’ availability, performance or functionality for any competitive purpose;
• Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Magnetar Services.

You may not redistribute, circumvent or disable any content protection system or digital rights management technology used with any Magnetar Service; decompile, reverse engineer, disassemble or otherwise reduce any Magnetar Service to a human-readable form; remove identification, copyright or other proprietary notices; or access or use any Magnetar Service in an unlawful or unauthorized manner or in a manner that suggests an association with our services or brands. By acquiring services or content through the Magnetar Services, You represent and warrant that Your access to and use of the services or content will comply with those requirements.
6. Disclaimers and Limitation on Liability
THE MAGNETAR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES NOT EXPRESSLY SET OUT IN THESE TERMS. WE SHALL NOT BE LIABLE TO YOU FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST PROFITS, REVENUE OR SAVINGS OR OTHER ECONOMIC LOSS, LOSS OF OR DAMAGE TO DATA OR LOSS OF BUSINESS OR GOODWILL AND OR PROPERTY DAMAGE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, NOR SHALL WE BE HELD LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL. IF YOU ARE DISSATISFIED WITH MAGNETAR SERVICES, THE CONTENT AVAILABLE ON IT, OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE ACCESSING OR USING MAGNETAR SERVICES.
UNLESS OTHERWISE SPECIFIED, MAGNETAR SERVICES ARE PRESENTED SOLELY FOR THE PURPOSE OF BRINGING PROFESSIONALS TOGETHER AND FOR OTHER SIMILAR PURPOSES IN ACCORDANCE WITH THE LAWS OF INDIA. MAGNETAR MAKES NO REPRESENTATION THAT MATERIALS, CONTENT ON THE PLATFORM ARE APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS. THOSE WHO CHOOSE TO ACCESS THIS PLATFORM FROM OTHER LOCATIONS DO SO ON THEIR OWN INITIATIVE AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAWS, IF AND TO THE EXTENT LOCAL LAWS ARE APPLICABLE.
YOU ACKNOWLEDGE AND UNDERTAKE THAT YOU ARE ACCESSING THE SERVICES ON THE PLATFORM AND TRANSACTING AT YOUR OWN RISK AND ARE USING YOUR BEST AND PRUDENT JUDGMENT BEFORE ENTERING INTO ANY TRANSACTIONS THROUGH OUR PLATFORM. WE SHALL NEITHER BE LIABLE NOR RESPONSIBLE FOR ANY ACTIONS OR INACTIONS OF MEMBERS NOR ANY BREACH OF CONDITIONS, REPRESENTATIONS OR WARRANTIES BY THE MEMBERS AND HEREBY EXPRESSLY DISCLAIM AND ANY ALL RESPONSIBILITY AND LIABILITY IN THAT REGARD. WE SHALL NOT MEDIATE OR RESOLVE ANY DISPUTE OR DISAGREEMENT BETWEEN YOU AND THE MEMBERS.
7. Additional Restrictions on Use of the Magnetar Services
You agree not to knowingly or recklessly introduce a virus or other harmful component, or otherwise tamper with, impair or damage any Magnetar Service or connected network, or interfere with any person or entity’s use or enjoyment of any Magnetar Service. Additionally, You agree not to access, monitor or copy any element of the Magnetar Services using a robot, spider, scraper or other automated means or manual process without our express written permission. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Service in a manner that sends more request messages to Magnetar servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, Magnetar grants the operators of public search engines permission to use spiders to copy materials from the Platform for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. Magnetar reserves the right to revoke these exceptions either generally or in specific cases.
8. Third Party Hyperlinks
The appearance of external hyperlinks and/or other elements generated by third parties on this Platform does not constitute endorsement by Magnetar and/or its affiliate companies of the opinions or views expressed by such third parties' websites. Magnetar does not verify, endorse or take responsibility for the accuracy, currency, completeness or quality of the content contained on these third parties' sites. Furthermore, Magnetar is not responsible for the quality of or delivery of any services offered, accessed, obtained by or advertised at such third parties' sites. As such, Magnetar will not be responsible for content provided on any third party website, and further Magnetar will under no circumstances be liable for any direct, indirect, incidental or special loss or other damage, whether arising from negligence, breach of contract, defamation, infringement of copyright or other intellectual property rights, caused by the exhibition, distribution or exploitation of any information or content contained within these third party hyperlinked websites.
9. Your Content and Account
User Generated Content The Magnetar Services may allow You to communicate, submit, upload or otherwise make available text, images, or other content (“User Generated Content”), which may be accessible and viewable by the public. You may not submit or upload User Generated Content that is unlawful, abusive, tortuous, profane, pedophilic, racially or ethnically or otherwise objectionable, defamatory, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, or otherwise offensive or that harms or can reasonably be expected to harm any person or entity, whether or not such material is protected by law.
We do not claim ownership to Your User Generated Content; however, You grant us a non-exclusive, sub licensable, irrevocable perpetual and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment on, modify, adapt, make available and otherwise exploit, commercially or otherwise, such User Generated Content, in whole or in part, in all media formats now known or hereafter devised (including in connection with the Magnetar Services and on third-party sites and platforms such as Facebook, Instagram, YouTube and Twitter), in any number of copies and without limit as to time, manner and frequency of use, without further notice to You, with or without attribution, and without the requirement of permission from or payment to You or any other person or entity. The User Generated Content may be subject to such additional terms and conditions provided by Magnetar at the time of submission.
You represent and warrant that Your User Generated Content conforms to these Terms and that You own or have the necessary rights and permissions, without the need for payment to any other person or entity, to use and exploit, and to authorize us to use and exploit, Your User Generated Content in all manners contemplated by these Terms. You agree to indemnify and hold us and our subsidiary and affiliated companies, and each of their respective employees and officers, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against us by any third party arising out of or in connection with our use and exploitation of Your User Generated Content. You also agree not to enforce any moral rights, ancillary rights or similar rights in or to the User Generated Content against us or our licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement not to enforce from others who may possess such rights. Magnetar reserves the right to decide whether the User Generated Content or any other content violates this Terms.
Claims against Objectionable Content
We operate on a "notice and takedown" basis. If You believe that any content on our Platform is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libelous, obscene, pornographic, pedophilic or menacing; ethnically objectionable, disparaging; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of India or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, (" Objectionable Content "), please notify us immediately by sending us a notice. Magnetar will make all reasonable endeavours to remove such Objectionable Content complained about within a reasonable time.
10. Reviews, comments, communications and other content
Users of our Platform may post reviews, comments and other content; send communications; and submit suggestions, ideas, comments, questions, or other information, as long as the content is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties, or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." In the event a user uses a false e-mail address, impersonates any person or entity, or otherwise misleads as to the origin of any content, Magnetar reserves the right (but not the obligation) to remove, refuse, delete or edit any content that in the sole judgment of Magnetar violates these Conditions of use and, or terminate Your permission to access or use this Platform. If You do post content or submit material, and unless we indicate otherwise, You (a) grant Magnetar and its affiliates a non-exclusive, royalty-free, irrevocable, perpetual and fully sub licensable rights to use, reproduce, publish and display such content throughout the world in any media; and (b) Magnetar and its affiliates and sub-licensees the right to use the name that you submit in connection with such content, if they choose.
You agree that the rights You grant above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. You agree to waive Your right to be identified as the author of such content and Your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to protect any of the above rights granted by You to Magnetar, including the execution of deeds and documents, at its request. You represent and warrant that You own or otherwise control all of the rights to the content that You post or that you otherwise provide on or through our Platform; that, as at the date that the content or material is submitted to Magnetar: (i) the content and material is accurate; (ii) use of the content and material you supply does not breach any applicable Magnetar policies or guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory); (iii) the content is lawful. You agree to indemnify Magnetar and its affiliates for all claims brought by a third party against it or its affiliates arising out of or in connection with a breach of any of these warranties.
11. Claims of Copyright Infringement
Notifications of claimed copyright infringement and counter notices must be sent to the e-mail address: admin@thescriptcraft.com.
12. Additional Provisions
Magnetar has the right to temporarily suspend or terminate the contract with You with immediate effect if there are reasons to suspect that You have violated the Terms or any applicable laws, rules and regulations or, additionally, if user is otherwise using the Services in a way that may cause damage to Magnetar or any third party.
If You are dissatisfied with the services, the materials available on it, or with these Terms, Your sole and exclusive remedy is to discontinue accessing or using the Services. These Terms are governed by and construed in accordance with the laws of Republic of India. You waive any claims that You might have against Magnetar based on any other jurisdiction including your own.
If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
The provisions of these Terms, which by their nature should survive the termination of these Terms, shall survive such termination.
No waiver of any provision of these Terms by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by You, but may be assigned by Magnetar without restriction.
